File beneficial ownership details by October 30-ORC urges companies
The directive, issued in accordance with the Companies Act, 2019 (Act 992) and the Companies Regulations, 2023 (L.I. 2473), mandates every registered entity in Ghana to disclose the natural persons who ultimately own, control, or exercise significant influence over the company’s operations.
The Office of the Registrar of Companies (ORC) has directed all companies yet to file their Beneficial Ownership (BO) information to do so by October 30, 2025, or face sanctions beginning November 1.
The directive, issued in accordance with the Companies Act, 2019 (Act 992) and the Companies Regulations, 2023 (L.I. 2473), mandates every registered entity in Ghana to disclose the natural persons who ultimately own, control, or exercise significant influence over the company’s operations.
According to the ORC, the compliance drive is part of efforts to strengthen corporate transparency, curb illicit financial flows, and align Ghana’s governance regime with global anti–money laundering and accountability standards.
In a statement signed by the Acting Registrar of Companies, Mrs. Maame Samma Peprah, the ORC cautioned that companies that fail to comply—or knowingly submit false information—will face strict legal penalties.
The requirement applies to all registered business entities in Ghana, including private and public companies limited by shares or guarantee, unlimited liability companies, and external companies operating within the jurisdiction.
The ORC underscored that full compliance with the BO disclosure framework is not only a regulatory obligation but also a strategic measure to enhance investor confidence, corporate integrity, and Ghana’s international reputation as a transparent and compliant investment destination.
